MD Law has advised on the transition to employee ownership of Barnsley-based construction group comprising DSM Roofing Ltd and Dibsa Structures Ltd.
DSM Roofing is a specialist building envelope contractor, offering services including roofing, cladding, and steel structures. Dibsa Structures, acquired by DSM in 2008, designs and manufactures lightweight steel structures.
Legal aspects of the transaction to become an Employee Ownership Trust (EOT) were handled by James Burdekin of MD Law with financial advice and support provided by Lee Smith at SMH Group and Jack Ware and Peter Wilmer at Hawsons Chartered Accountants.
James Burdekin, partner at MD Law said: “Employee ownership in the UK has gained momentum as a preferred route for business succession and employee engagement.
“An EOT can benefit exiting shareholders, business owners and employees by offering a unique way for business owners to sell their shares to a trust for the benefit of their employees.
“This model can help ensure the continuity of the business, but can also contribute to a more motivated and cohesive workforce, as employees have a direct stake in the success of the company. We are excited to see how they continue to evolve under this new structure.”
Hawsons’ Jack Ware added: “We are proud to have supported companies such as DSM Roofing and Dibsa Structures on their journey to employee ownership. This transition reflects a deep commitment to the people who drive these businesses forward and lays a strong foundation for sustainable, long-term growth. It’s been a privilege to help secure the future of both companies in the hands of those who contribute to their success every day.”
Dean Foulkes, Managing Director of Foulkes Holdings Limited, the holding company that owns DSM Roofing and Dibsa Structures, said: “Transitioning to employee ownership was a natural step for us.
“It recognises the hard work and dedication of the people who make these companies what they are. We’re confident this move will strengthen the long-term future of the group, while preserving the values and culture we’ve worked tirelessly to instill.”
